Freeze Out Mergers
We have tried class action suits in both the Delaware Court of Chancery and
the New Jersey Superior Court. In the case of Kathryn Casey et al v. George
G. Brennan, et al., the court awarded a judgment of approximately $12.5 million
on behalf of minority stockholders who were subjected to a freeze out merger.
(Consol. Docket No. UNN-C-180-97; New Jersey Superior Court)
Pink Sheets
Our work in class action suits further includes actions challenging the squeeze
out of minority shareholders in companies whose stocks are traded on pink sheets.
We have been sole or lead counsel in many of those cases including those involving Crowley Maritime Corporation, Amboy Corporation,
Southern Jersey Bancorp (here the squeeze out merger was abandoned after the
start of litigation), Security Storage Company of Washington, D.C., and Young’s
Market Company.
